Tudorvale Advisory is led by Andrew Jones. His background combines IT systems and digital transformation with listed-company leadership and corporate finance. He has built and run a technology business, as well as advising and managing companies through commercial change.

At TomCo Energy plc, Andrew's chairmanship involved board reconstruction, cost reduction, governance implementation, financial and administrative oversight, and work across the group's international subsidiaries. He served first as Non-Executive Chairman and then as Executive Chairman between July 2015 and March 2020.

His responsibilities extended to restructuring the US asset-holding subsidiary, reviewing its leases and obligations, establishing a Sierra Leone business, and serving as President of technology venture TurboShale. The work required coordination across company boards, technical specialists, financiers, local professionals, and public authorities.

His corporate finance background includes capital raising, placing documentation, investor relations, and roles with City & Merchant, the Altitude businesses, and Atlantic & Pacific Partners. Earlier operating experience includes the turnaround of Too2Much and the development and sale of an IT services business, followed by integration work at Zarcus.

In 2013, Andrew worked on The Place hospitality project in Tokeh, Sierra Leone. His contribution combined financing materials and financial information developed with the company, CSR reporting, business review, operational improvement, and local and national stakeholder engagement.

Andrew is based in North Wales and London, and speaks English and Welsh fluently.

Board reconstruction and executive leadership | 2015 to 2020

TomCo Energy plc

Andrew joined TomCo as Non-Executive Chairman in July 2015 with a mandate to rebuild the board, change the nominated adviser, reduce costs, and strengthen governance. He became Executive Chairman in October 2016 and served until March 2020.

His responsibilities combined board leadership with direct executive work: committee structures, internal controls, share-dealing policies, implementation of the Market Abuse Regulation, market communications, audit coordination, budgets, and payment oversight. He worked with the nominated adviser, registrars, financial PR advisers, and the company's Isle of Man representatives.

Andrew reduced overheads and improved governance, work acknowledged in TomCo's public presentations. He also worked on financing and the development of the group's subsidiaries.

Group responsibilities

The Oil Mining Company Inc.

As President of TomCo's US asset-holding subsidiary, Andrew restructured its board and reviewed its operating arrangements. He brought together a detailed account of its mineral assets, permits, leases, and state and federal obligations, including renewal of lapsed agreements where appropriate.

The work gave the parent company a clearer understanding of its assets and responsibilities, supported by engagement with local specialists, authorities, and legal advisers.

TomCo Palm Oil Ltd

Andrew worked on establishing TomCo's Sierra Leone subsidiary, including company formation, constitutional documents, local professional relationships, banking and debt arrangements, land negotiations, and business planning.

This was development-stage work on a proposed palm oil operation. TomCo subsequently refocused on its US oil shale opportunity.

TurboShale Inc.

Andrew served as President of TurboShale and established its corporate structure and administration. His work extended to commercial and IP structuring, development planning, and coordination across the executive, technical, legal, and financing teams.

The venture brought together TomCo and specialist partners to develop radio-frequency oil shale technology. Andrew's contribution formed part of a wider team responsible for technical development, strategy, and fundraising.

Capital raising and corporate finance

City & Merchant and earlier finance ventures

At City & Merchant, Andrew worked on capital raising, placing documentation, investor relations, and coordination between clients and their professional advisers. His earlier project work included supporting DXS International with equity fundraising in connection with its proposed market admission.

He also held leadership and directorship roles in the Altitude businesses and Atlantic & Pacific Partners, working with growing companies on financing, corporate structure, and investor communications.

Operational turnaround | Interim Managing Director

Too2Much

The principal investor appointed Andrew to turn the business around. He took responsibility for its profit and loss, marketing and public relations.

Andrew led the turnaround, and the business was subsequently sold to a larger group.

Business formation, sale, and integration

Tudorvale and Zarcus

Andrew built an IT services business serving financial-sector and other specialist clients, developing its team, systems, and commercial relationships. Following the sale of the services business to Zarcus, he took a technical leadership role supporting integration.

His technical work included network design, IT infrastructure, security and business continuity. At Zarcus, his responsibilities included recruiting and training engineers, introducing internal systems, managing performance and transferring client relationships.

Hospitality project advisory | 2013

The Place, Tokeh, Sierra Leone

Andrew prepared an information memorandum and investor pitch deck, working with the company on the supporting financial information.

The wider assignment included CSR reporting, a business review, an operational improvement programme, and engagement with local traditional leadership, peninsula leadership, parliamentarians, and the ministers responsible for lands and tourism.
